Dollapee Private Limited has developed and technology-based end-to-end checkout services and cash-on-delivery (COD) order verification and fraud detection tool in the name and style Codfirm respectively (hereinafter referred to as ‘’Dollapee’’, ‘’we’’ or ‘’us’’) and you, the user of service (‘’you’’). By using the Dollapee services, you agree to be bound by these terms and conditions (“Terms of Use”).

TERMS OF USE

Dollapee is the simplest way to verify and detect fraud on chosen cash-on-delivery order and shop online since you are only one click away from checkout on an e-commerce website/application (‘’Dollapee Services’’). The services developed or provided by Dollapee, is cash-on-delivery order verification and fraud detection tool which, inter alia, enables D2C brands and e-commerce merchants to: (i) increase successful COD order rates by analyzing your credibility; (ii) decrease return-to-origin rates by incentivizing you to convert the order to an online payment; and (iii) issue order related notifications and promotional communications to you, and an end-to-end checkout platform, a technology that makes it easier for e-commerce merchants on the internet to provide seamless checkout experience and collect payment from individuals like you.

Dollapee Services also makes it easy for you to store your address, payment credentials like credit cards, debit cards, wallets, etc. (‘’Payment Credentials’’) with Dollapee for providing instant checkout services on e-commerce websites or applications of the Merchants' associated with Dollapee (‘’Merchants’’).

If you are a Merchant, please see the Merchant Terms of Service available at https://www.codfirm.in/terms-of-service which are the terms that apply to you in your capacity as a Merchant.

USING DOLLAPEE SERVICES

You may choose to create a (‘’Dollapee Account’’) when you are browsing products through the Merchant's website or application, or initiating your purchase using Dollapee on the product page of the Merchant and you will be able to complete all steps including selecting a saved shipping/billing address or adding a new shipping/billing address and selecting payment method including COD (if you provide COD), to complete a transaction on a Merchant's website or application that has Dollapee Services enabled. As a first time user of Dollapee, you will be required to enter identifying information, such as your name, address, email address and your mobile phone number (Dollapee Credentials), and your Payment Credential and we will store such information. The information you submit in connection with payment as well as any other information saved with the Merchant and passed to us to affect your payment (collectively, Information) may be made a part of your Dollapee Credentials that can be used for future purchases. Your Dollapee Account remembers important details like name, address, email, shipping and payment information, so you get a one click, passwordless experience that effortlessly moves you through the purchase process.

Any amendment or rectification of your Dollapee Credentials or Payment Credentials in your Dollapee Account can be carried out by accessing the "My account" section on this Website. You are solely responsible for maintaining the confidentiality of your account and for any activity that occurs in or through your Dollapee Account and Dollapee shall assume no liability for any loss or damage incurred by You as a result of any failure on your part to protect your Dollapee Account access.

HOW DOLLAPEE PROTECTS YOUR PRIVACY

By accessing or using Dollapee Services, you agree that your use of the Dollapee Services is subject to the Dollapee Privacy Policy available at https://www.codfirm.in/customer-privacy-policy , which is incorporated into and forms part of these Terms of Use. You should be aware that your data may be subject to disclosure as required by applicable law.

When you complete your purchase using your Dollapee Services, your payment information is encrypted and stored securely in a token vault used for transactions.

YOUR USE OF THE SERVICES

By using the Services, ‍You represent, warrant, and agree to the following:

a) By using Dollapee Services you confirm that you are at least 18 years of age and that you will not use Dollapee Services for any fraudulent, unlawful or abusive purpose.

b) You may not provide information that you don't have the right to use, or another person's name with the intent to impersonate that person or attempt, in any manner, account, or other security information from any other user.

c) You will only use the Services for your own internal, personal, non-commercial use, and not on behalf of or for the benefit of any third party, and only in a manner that complies with all applicable laws including export laws.

d) You will not share your account with anyone, and you must protect the security of your account details. You are responsible for the security of the device through which your Dollapee Account is logged in and any activity associated with your account.

A violation of any of the foregoing is grounds for termination of your right to use or access the Services. Dollapee reserves the right to bar any such activity and to pursue damages from you for such activity as set forth herein.

PAYMENT TERMS

Anytime you click pay on the Services, you are authorizing us to process payment through your pre-selected or chosen payment instrument or to debit such amounts from your payment instrument saved with your Dollapee Account (as applicable), against purchase of the products or services from such Merchant's website and deposit them into the Merchant's account. If you complete a purchase with recurring payments, you authorize Dollapee to charge the payment instrument you used for the initial purchase for each reoccurrence.

When storing your payment information into your Dollapee Account, you agree that such stored Payment Credentials shall be used to make payment for the product or services you are purchasing on such Merchant website or application through Dollapee Services. When you complete a transaction using your Dollapee Account, you agree that Dollapee may use the Information stored in your Dollapee Account to initiate the payment process with the Merchant for your transaction and to fulfill the order.

A payment request does not necessarily assure that we will accept your request. We reserve the right to refuse, suspend, or cancel any request in our sole discretion.

In order for Dollapee to verify your authority to use a particular payment method, card, you may be required to provide a mobile phone number and enter the One Time Passcode (OTP) that is sent to that mobile phone number. We may require additional information to complete your order.

Once we receive a properly completed payment request from you and authorized by your card issuer/issuing bank, payment network or other financial institution, authorization of your form of payment is received and your order is accepted, we will promptly place your order in line for fulfilment with the Merchant.

These Terms of Use do not alter the terms you've agreed to with a Dollapee enabled Merchant, except with respect to the direct relationship between you and Dollapee.

YOUR RELATIONSHIP WITH MERCHANTS

You are purchasing goods and/or services from the Merchant and your purchase is governed by any Merchant terms and conditions offered or any contract between you and the Merchant. You must contact the Merchant to resolve any issues you have with respect to the goods and services you ordered or purchased from such Merchant, including any issues relating to shipping and delivery, product warranty, product return, refund, exchange, and the terms of any agreements you entered into with the Merchant in connection with your order or purchase. You acknowledge and agree that Dollapee is not responsible for any of these issues.

You also acknowledge and agree that Dollapee is not in any way responsible for the quality, usability, or any other element of the goods or services you order or purchase from a Merchant. You acknowledge that Dollapee does not endorse any goods or services offered for sale on Merchant websites linked to the Dollapee Services or website. Dollapee does not warrant the accuracy or reliability of any information or marketing messages contained in Merchant websites linked to the Dollapee Services or website.

If you have any disputes with regards to your rights through your credit/debit card issuer, issuing bank or any other financial institution who have issued your payment instrument, all such disputes filed with your credit/debit card issuer bank or any other financial institution as the case may be, shall be between you and such other entity, and Dollapee shall not be held liable for such disputes.

You agree that we can make information about your purchase available to the Merchant through a Merchant dashboard and/or our API in order to fulfill your order.

OWNERSHIP OF CONTENT

You acknowledge and agree that the Dollapee Services, including, without limitation, any content, website, social media handles, service modifications, enhancements, features and updates, any originals and copies thereof, and all intellectual property rights (collectively, Proprietary Information), is owned by Dollapee and its suppliers, as applicable. The Proprietary Information contains valuable copyrighted and proprietary material of Dollapee. You have no rights in the Proprietary Information, other than the rights and licenses specifically granted to you pursuant to these Terms of Use.

ACCOUNT TERMINATION

You're free to terminate your Dollapee Account at any time by writing to us at support@codfirm.in. We may maintain backup of all your information for such time as may be required under applicable laws and for operational purposes of Dollapee. Please refer to the Dollapee Privacy Policy as well as the Terms of Use herein, to understand how we treat information you provide to us after you have stopped using our Services. Dollapee is also free to terminate (or suspend access to) your use of the Services or your account, for any reason in our discretion, including your breach of these Terms of Use. Dollapee has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms of Use.

MODIFICATIONS TO DOLLAPEE SERVICES

Dollapee is always improving the Services, so they may change over time. We may suspend or discontinue any part of the Services, or we may introduce new features or impose limits on certain features or restrict access to parts or all of the Services. We have the right to change or add to these Terms of Use at any time, solely with prospective effect, and to change, delete, discontinue, or impose conditions on use of Dollapee by posting such changes on our website. To the fullest extent permissible by law, Dollapee makes no representation or warranty of any kind whatsoever for the Services or the content, materials, information and functions made accessible by Dollapee. Dollapee does not guarantee the continuous, uninterrupted, error-free or secure use of any part of the Dollapee Services. Use of the Services may be interrupted due to events outside Dollapee's reasonable control, such as delays in the banking system or card networks or data networks. Dollapee will use commercially reasonable efforts to process payments in a timely manner, but Dollapee makes no representations or warranties regarding the time it takes to complete any transaction.

To the fullest extent permissible by law, Dollapee disclaims any warranty of any kind with respect to the services, noninfringement, merchantability, or being fit for a particular purpose.

LIMITATION OF LIABILITY

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our gross negligence or of our employees, agents or representatives; for fraud or fraudulent misrepresentation. Nothing in this section or these terms will affect your statutory rights as a consumer.

Except under the circumstances stated above, in no event shall Dollapee be responsible or liable to you or any third party under any circumstances for any indirect, consequential, special, punitive or exemplary, damages or losses, including but not limited to damages for loss of profits, goodwill, use, data, or other intangible losses which may be incurred in connection with ;

Use of Dollapee Services, or any goods, services, or information purchased, received, sold, or paid for by way of the Services;

Any loss or damage which may be incurred by you, including but not limited to loss or damage as a result of any reliance placed by you on the completeness, accuracy or existence of any advertising, or as a result of any relationship or transaction between you and any advertiser or sponsor whose advertisement appears on the Services.

In addition to and without limiting any of the foregoing, Dollapee shall not have any liability for any failure or delay resulting from any condition beyond the reasonable control of itself, including but not limited to governmental action or acts of terrorism, earthquake, fire, flood or other acts of God, strikes or other industrial action, power failures and Internet outages.

INDEMNITY

To the fullest extent allowed by applicable law, You agree to indemnify and hold Dollapee, its subsidiary, officers, agents, employees, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys' fees) arising from or in any way related to any third party claims relating to (a) your use of the Services (including any actions taken by a third party using your account), and (b) your violation of these Terms of Use. In the event of such a claim, suit, or action (Claim), we will attempt to provide notice of the Claim to the contact information we have for your account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).

DISPUTE RESOLUTION

This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) (a Dispute) will be governed by and construed in accordance with the laws of India. Any Dispute shall be finally resolved and adjudicated by the courts of Bengaluru. This Agreement is concluded in English.

COMMUNICATIONS

In order to communicate with you, you consent to accept and receive communications from us, including e-mail, text messages, calls, whatsapp and push notifications to the cellular telephone number you provide to us. These communications may be generated by automatic telephone dialing systems which will deliver pre-recorded messages, for the purposes of secondary authentication, receipts, reminders, and other notifications associated with your Dollapee Account and transactions. You consent to accept and receive communications from us using the email address and phone number you provide. We may also send you transactional text messages and emails for the purpose of verifying your Dollapee Account or notifying you about transactions you place on Merchant or partner websites

You may opt-out of receiving communications by following the unsubscribe options we provide to you in each form of communication or from through your Dollapee Account.

ADDITIONAL TERMS

Severability: If any provision of these Terms of Use is to any extent invalid, illegal, or incapable of being enforced, such provision shall be excluded to the extent of such invalidity, illegality, or unenforceability; all other provisions hereof shall remain in full force and effect. Feedback: If you provide any feedback to Dollapee concerning the functionality and
